Terms and Conditions of Use

  • 1.1 Definitions 

    Content: any and all MRL® Ltd and third-party editorial content, information, text, images, photos, videos, artwork, illustrations, graphic (art and electronic) images, audio, music, sounds, postings, messages, recommendations, comments, software, files, feedback, bug reports, or other protected materials and authored works of any kind that are utilised and approved for the provision of the Site.

    ​

    Data: information stored electronically, on a computer, server or in certain paper-based filing systems.

    ​

    Data Subjects: all living individuals about whom we hold Personal Data. All Data Subjects have legal rights concerning the processing and storage of their personal information.

    Device: any device which is used to access the Site including but not limited to computers, spatial computers, smart phones, tablets, headphones, wearable smart devices, speakers and lights.

    Intellectual Property Rights: any and all intellectual property rights existing in any part of the world under applicable law, including without limitation patent law, copyright law, trade secret law, trademark law, unfair competition law, and any and all applications, renewals, extensions and restorations of such rights, now or hereafter in effect worldwide.

    Linked sites: any third-party websites pop-up, external link or outside the domain of the Site.

    MRL® Ltd, us, we, or our: the legal entity MRL® Public Sector Consultant Ltd.

    ​

    Personal Data: information which can be used to directly or indirectly to identify a living individual.

    Processing: any activity in which the data is used, including (but not limited to) obtaining, recording, organising, amending, retrieving, using, disclosing, erasing, destroying and/or holding the data. The term “processing” also includes transferring personal data to third parties.

    Sensitive Personal Data: information about a person's race, ethnicity, political opinions, convictions, religion, trade union membership, physical and/or mental health, and sexual preference. Sensitive personal data can only be processed with the express consent of the person concerned.

    Third Party: any natural or legal person, public authority, agency, or body other than the data subject, controller, processor, or persons who, under the direct authority of the controller or processor, are authorised to process or receive personal data.

    User: any person who uses the Site.

    ​

    Site: This is the Health Sector Transformation Programme website.

     

    You, your, yourself: data subject who uses the Site.

    1.2 Specified Purpose  ​

    The purpose of these Terms and Conditions of Use (the “Terms of Use”) is to inform you, as a user, of the key elements of the Health Sector Transformation Programme website (“Site”), located at www.hstpnigerng.com  and to help us provide you with transparent and effective use in accordance with the terms of the Nigeria Data Protection Act 2023.

     

    It is important that you read the Terms of Use, which apply to your use of this site before you begin using this site. Thank you for taking the time to do this.

    1.3 Agreement to Terms of Use

    By accessing and using this Website, you acknowledge that you have read, understood and agreed to comply with and be legally bound by these Terms of Use.

     

    Access to and use of the Website is provided by MRL® Public Sector Consultants Ltd (“MRL® Ltd”), subject to your acceptance of the Terms. We operate the Website from Nigeria and the United Kingdom. We are not subject to local laws outside the geographical scope of our operation and the Site may not be compliant with those local laws. If you are using this Website from outside Nigeria, other laws not applicable to us may apply to your use of this Website.

    1.4 Privacy Policy ​

    We care about your data privacy and security. Our Privacy Policy applies to the use of this Website, and its terms are made as part of these Terms of Use by this reference. Our Privacy Policy and the Nigerian Data Protection Commission’s website provides more information about the use of and protection of any personal data and sensitive personal data collected from you when you use the Site.     By accessing and using our Site you acknowledge that you have read, understood and agree to be bound by our Privacy Policy which is incorporated in these Terms of Use.

    1.5 Updates and Changes to these Terms​

    MRL® Public Sector Consultants Ltd reserves the right, at its sole discretion, to change, modify, enhance, add or remove portions of these Terms of Use, at any time. You will be notified promptly and transparently of any material changes to the Terms of Use and Privacy Policy which may be provided by any legally permissible means including by (a) updating these Terms and posting them on the Sites; or (b) emailing the address you provided in your Account.  It is your responsibility to also check these Terms of Use periodically for changes. Updated Terms are binding on you as of the effective date indicated in our notice.  Your continued use of the Site following any such change on the Site will mean that you accept and agree to the changes. If, at any time, you do not agree to the Terms, do not use the Sites.

  • 2.1 Restricted Usage

    As long as you comply with these Terms of Use, MRL® Ltd grants you a limited, non-exclusive, non-transferable and revocable right to access and use our Site solely for its intended purposes. You agree not to engage in any unauthorised activities including but not limited to:

    ​

    1. Using ‘web scraping’, ‘web crawling’ and ‘data extraction technologies’ other automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site.

    2. Attempting to gain unauthorised access to any portion or feature of the Site, or any other systems or networks connected to the Site or to any MRL®   Ltd server through the Site, by hacking, password "mining" or any other illegitimate means. 

    3. Probing, scanning or testing the vulnerability of the Site or any network connected to the Site, nor breach the security or authentication measures on the Site or any network connected to the Site.

    4. Reverse look-up, tracing or seeking to trace any information on any other user of or visitor to the Site, including any Site account not owned by you, to its source, or exploit the Site or any information made available through the Site, in any way where the purpose is to reveal any information, including but not limited to personal identification or information, other than your own information, as provided for by the Site. 

    5. Taking any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or MRL® Ltd systems or networks, or any systems or networks connected to the Site or to MRL® Ltd.

    6. Using any device, software or routine to interfere or attempt to interfere with the proper working of the Site or with any other persons  use of the Site.

    7. Forging headers or otherwise manipulate identifiers in order to disguise the origin of any message or transmittal you send to or by MRL® Ltd on or through the Site or any service offered on or through the Site.

    8. Pretending that you are, or that you represent, someone else, or impersonate any other individual or entity.​

    9. Using the Site or any Content for any purpose that is unlawful or prohibited by these Terms of Use, or to solicit the performance of any illegal activity or other activity which infringes the rights of MRL® Ltd or others.

  • 3.1 ​Intellectual Property Rights

    All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, artwork and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel" and arrangement of such Content, contained on the Site may be owned, controlled or licensed by or to MRL® Ltd, and may be protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws.

    3.2 ​Restrictions

    In acknowledgment of MRL® Ltd’s ownership and intellectual property rights in the Content, you agree that you will not:

    ​

    1. Copy, store, archive, reproduce, transmit, modify, alter, reverse-engineer, translate, adapt, emulate, de-compile, disassemble, or attempt to derive the source code of the Content in any way, or create derivative works based on the Content, in whole or in part, of any nature whatsoever;

    2. Rent, lease, loan, publish, broadcast, circulate, make available to the public, exploit, sell or distribute the Content in whole or in part;

    3. Tamper with or manipulate in any way the Site, or circumvent any technology used by MRL® Ltd, to protect the personal or sensitive data or any Content accessible through the Site;

    4. Circumvent any territorial restrictions applied to the Site and Content;

    5. Use any data mining, data gathering or data extraction methods;

    6. Interfere with, disrupt or create an undue burden on the Site of the networks connected to the Services;

    7. Use the Site in a way that violates these Terms; or

    8. Assist or permit any third-party to contravene any of the aforementioned prohibited acts.

     

    This Site includes trademarks owned by us including, but not limited to the MRL® trademark. You must not use any of our trademarks:

    ​

    • In connection with activities, products or services which are not ours;

    • In a manner which may be confusing, misleading or deceptive;

    • In a manner that disparages us or our information (including this Site).

     

    MRL® Ltd will enforce its Intellectual Property Rights to the fullest extent of the law, including but not limited to bringing civil or criminal legal proceedings.

  • MRL® Ltd reserves the right to effect, among other things, the immediate termination, deactivation or suspension of your right to access and use this Site if you breach these Terms of Use.

     

    You agree that MRL® Ltd may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems. 

     

    MRL® Ltd reserves the right, in our sole discretion, to bring legal proceedings against you and any third-party, if applicable, if you breach these Terms of Use or engage in illegal or fraudulent use of the Site. If MRL® Ltd does take any legal action against you as a result of your violation of these Terms of Use, MRL® Ltd will be entitled to recover from you, and you agree to pay, all reasonable attorneys fees and costs of such action, in addition to any other relief granted to MRL® Ltd. You agree that MRL® Ltd will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.

  • 5.1 General Disclaimer  

    MRL® Ltd implements robust data protection protocols, including secure storage, and controlled access systems, to safeguard your data against unauthorised access, breaches, or misuse. While we take all reasonable steps to protect your data, we cannot guarantee that the Site will always be free from security risks, faults, viruses, or other vulnerabilities.

     

    The Site and its Content are delivered on an "AS-IS" and "AS-AVAILABLE" basis. You acknowledge and agree that your use of the Site will be at your own risk. To the fullest extent permitted by law, MRL® Ltd excludes and disclaims all warranties, terms, conditions and representations whether express, implied or statutory, in connection with the Site and your access and use thereof including, but not limited to, fitness for particular purposes, title, accuracy and non-infringement of third-party proprietary rights.

     

    Neither we nor our affiliates accept any responsibility for loss or damage, however caused, which any person may directly or indirectly suffer in connection with or arising from the use of this Site, any linked site, or reliance on information accessed through this Site. If any damages arise from a third party unlawfully using the collected data, MRL® Ltd shall not be held liable for such misuse. MRL® Ltd remains committed to handling personal data in compliance with applicable data protection laws and implementing robust security measures to prevent unauthorised access or misuse. Liability for any unlawful use by external parties’ rests solely with those responsible.

     

    The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorised access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action. To the extent permitted by law, any condition or warranty which would otherwise be implied into these Terms of Use is hereby excluded. This disclaimer set out in these Terms of Use does not attempt or purport to exclude liability arising under statute if, and to the extent, such liability cannot be lawfully excluded.

     

    You acknowledge and understand that your access to the Site may on occasion be restricted to allow for maintenance or the introduction of new features, content or versions. We will not be liable to you if the Content or Site are unavailable for a commercially reasonable period of time.

    We do not monitor or review the content of third party’s websites, which are linked from this platform. Opinions expressed or materials appearing on such websites are not shared or endorsed by us, and MRL® Ltd should not be regarded as the publisher of such opinions or materials. Please be aware that we are not responsible for the privacy practices, or content of any third-party sites and we encourage you to read the privacy statements of these sites. You should exercise caution and evaluate the security and terms and conditions applicable to any other website you visit before using or disclosing any personal information to it. MRL® Ltd will not accept any responsibility for any loss or damage in whatever manner, howsoever caused, resulting from your disclosure to third parties of personal information.

     

    YOU ASSUME TOTAL RESPONSIBILITY FOR YOUR USE OF THE SITE AND ANY LINKED SITES.

    • your reliance on the content of the Site; or

    • the acts, omissions and conduct of any third parties in connection with or related to your use of the Site.

  • SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS AND LIMITATIONS OF CERTAIN DAMAGES SUCH AS THE LIMITATION OF LOSS OR LIABILITY FROM INTENTIONAL ACTS (INCLUDING FRAUD, FRAUDULENT MISREPRESENTATION, AND FAILURE TO DISCLOSE DEFECTS), PRODUCT LIABILITY, OR FOR DEATH OR PERSONAL INJURY. NOTHING IN THESE TERMS WILL BE INTERPRETED AS EXCLUDING LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW. IF YOU LIVE OR ARE OTHERWISE SUBJECT TO THE LAWS IN ONE OF THOSE JURISDICTIONS ANY STATUTORY ENTITLEMENT AVAILABLE TO YOU WILL BE DEEMED LIMITED TO THE EXTENT (IF AT ALL) PERMISSIBLE UNDER THAT LAW AND, IF LIMITATION IS NOT PERMITTED, THE EXCLUSIONS IN THIS SECTION MAY NOT APPLY TO YOU.

  • You acknowledge and agree that MRL® Ltd will not be liable to you for any lack of performance, or the unavailability or failure, of the Site, or for any failure or delay by us to comply with these Terms, where such lack, unavailability or failure arises from any cause beyond our reasonable control.

  • You agree to indemnify MRL® Ltd and our affiliates, partners, directors, shareholders, successors in interest, employees and agents against all actions, claims and demands, disputes, liabilities, damages, losses, costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

    1. Your access to or use of the Site or the Content;

    2. Any person you authorised to use your Login Information;

    3. Acts, omissions and conduct of any third parties in connection with or related to your use of the Site

    4. Personal injury, emotional distress, any third-party claims of bodily injury, death, or damage to real or tangible personal property that is either directly or indirectly related to your use of the Site or otherwise caused by your negligent or more culpable acts or omissions; or

    5. Your violation of the Terms of Use or the law in your province, territory or country.

  • We may assign our rights and delegate our duties under these Terms at any time to any party without notice to you.

  • If any provision or provisions of these Terms of Use shall be held to be invalid, illegal or unenforceable by a court of competent jurisdiction, such determination shall not affect the validity, legality and enforceability of the remaining provisions and they shall remain in full force and effect.

  • These Terms of Use and any dispute arising out of or in any way related to these Terms of Use shall be governed by and construed in accordance with the the laws of the Federal Republic of Nigeria. However, any legal proceedings or disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

  • 13.1 Initial Resolution  ​​

    You agree that all concerns, disputes or claims in relation to these Terms, the Content and the Services are to be raised in the first instance with MRL® Ltd directly by contacting us at mrl@mrl.uk.com. Both parties hereby agree to make all reasonable efforts to resolve any such dispute amicably and on an informal basis.

    13.2 Arbitration  ​​

    You and MRL® Ltd agree that any dispute or claim that could not be successfully resolved through initial informal dispute resolution efforts and arise out of or relating to these Terms of Use or the breach, termination, enforcement, interpretation or validity thereof or the use of the Site or Content, will be resolved in a cost-effective binding arbitration.

     

    In the event of an arbitration, an established alternative dispute resolution provider will be mutually agreed upon by the parties.
